5.2 Pricing: All prices are listed in Mexican Pesos (MXN) and are subject to change without notice. 10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAQ‑INOX, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SITE, ITS CONTENT, OR ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF ONE HUNDRED MEXICAN PESOS (MXN $100.00) OR THE AMOUNT YOU HAVE PAID TO MAQ‑INOX IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Maq‑Inox, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Contributions, any use of the Site’s content or services other than as expressly authorized in these Terms, or your use of any information obtained from the Site.
12. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the United Mexican States and the State of Jalisco, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal or state courts located in Guadalajara, Jalisco, Mexico. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
13. SEVERABILITY
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions of these Terms will continue in full force and effect.
14. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Refund and Returns Policy, and Shipping Policy, constitute the sole and entire agreement between you and Maq‑Inox regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
